Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of Ranflo (the “Service”), a product developed and owned by Verveance (“Verveance,” “we,” “us,” “our”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Who May Use the Service

  • You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.
  • If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms, and “you” refers to both you and that entity.
  • You are responsible for ensuring your use of the Service complies with the laws applicable to you and your business.

2. What Ranflo Is (and Is Not)

Ranflo is a business record-keeping and workflow tool. It provides:

  • Lead capture forms and a sales pipeline
  • Client and job/project tracking
  • A basic income and expense ledger (“Finances”)
  • Client-facing portals for status updates, messaging, and reviews
  • Custom data boards for business records

Ranflo is not:

  • An accounting or tax filing service. Finances is a bookkeeping tool for your own records. It does not generate statutory tax filings, compliant tax invoices, or country-specific accounting documents. You are responsible for consulting a qualified accountant or tax professional for tax compliance, filings, and official financial statements.
  • A payment processor. Ranflo does not process payments between you and your clients. Any invoicing/billing summary features are for your own record-keeping only and are not tax-compliant invoices unless explicitly stated otherwise.
  • A legal or contract service. Ranflo does not currently generate contracts, proposals, or legally binding agreements between you and your clients.
  • A guarantee of business outcomes. Ranflo helps you organize and track your operations; it does not guarantee leads, sales, client retention, or business results.

3. Accounts

  • You must provide accurate, current information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • You must notify us promptly of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or are used for fraudulent or abusive purposes.

4. Subscription Plans and Billing

  • Ranflo offers a Free plan and one or more paid subscription plans (“Pro,” “Business,” or as otherwise named), each with specific feature limits described on our pricing page.
  • Paid subscriptions are billed on a recurring basis (monthly or as otherwise selected) through our payment processor, Dodo Payments, who acts as the Merchant of Record for these transactions.
  • Prices may vary by region/country to reflect local purchasing power; the price applicable to you is the price shown at checkout for your account’s region.
  • Trials: We may offer a free trial period for paid plans. At the end of the trial, unless cancelled, your account will either revert to the Free plan or begin billing at the applicable plan rate, as described at the time of trial activation.
  • Cancellations: You may cancel your subscription at any time through your account settings or our payment processor's customer portal. Cancellation takes effect at the end of your current billing period; you will retain access to paid features until that date.
  • Refunds: We do not offer refunds for partial billing periods. Subscriptions are billed in full for each billing period, and you control your billing through your account settings.
  • Price changes: Plans, features, pricing, and service options may change from time to time, and in some cases without advance notice, as we continue to improve the Service. Continued use of the Service after a change takes effect constitutes acceptance of the new pricing and options.
  • Plan limits: Each plan has specific limits (e.g., number of jobs, clients, storage, team members) as described on our pricing page. Exceeding these limits may restrict your ability to create new records until you upgrade or reduce usage.

5. Your Data and Content

  • Ownership: You retain all ownership rights to the business data, records, files, and content you upload or create using the Service (“Your Content”). We do not claim ownership over Your Content.
  • License to us: By using the Service, you grant us a limited license to host, store, process, and display Your Content solely as necessary to provide the Service to you.
  • Your responsibility: You are solely responsible for the accuracy, legality, and appropriateness of Your Content, including any data about your clients or employees that you input into the Service. You represent that you have the necessary rights and permissions to store and process that data through Ranflo (for example, appropriate consent from your clients where required by applicable privacy law).
  • Export and deletion: You may export Your Content at any time through the export features available within the Service (CSV or Excel). If you delete your account, Your Content will be permanently deleted as described in our Privacy Policy, and we will not be able to recover it afterward.

6. Client Portals and Third-Party Data

  • The Service allows you to generate client-facing portals that let your customers (“End Clients”) view job status, exchange messages, and submit reviews without creating a Ranflo account.
  • You are responsible for ensuring you have the right to share relevant information with your End Clients through these portals and for how you use any information you collect from them via the Service.
  • We are not a party to the relationship between you and your End Clients and are not responsible for disputes, disagreements, or issues arising between you and your clients.
  • Reviews submitted by End Clients reflect the views of the reviewer and not of Ranflo or Verveance. We do not verify the accuracy of reviews and are not liable for their content.

7. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Store, transmit, or process data that infringes on the rights of others (including intellectual property, privacy, or publicity rights)
  • Upload malicious code, attempt to breach security, or interfere with the normal operation of the Service
  • Use the Service to harass, defraud, or deceive any person, including your own clients
  • Attempt to access accounts, data, or systems belonging to other users without authorization
  • Circumvent plan limits, paywalls, or usage restrictions through technical means
  • Use the Service for any activity requiring licenses or authorizations you do not hold (e.g., processing payments as a licensed money transmitter, providing regulated financial or legal advice)
  • Resell, sublicense, or provide the Service to third parties as your own product without our written permission

We reserve the right to suspend or terminate accounts that violate this section, with or without notice, depending on severity.

8. Intellectual Property

  • The Service, including its software, design, branding, and underlying technology, is owned by Verveance and protected by applicable intellectual property laws.
  • These Terms do not grant you any rights to Verveance's trademarks, logos, or branding except as necessary to use the Service as intended.
  • Feedback or suggestions you provide about the Service may be used by us without obligation to compensate you.

9. Third-Party Services

The Service relies on third-party providers to operate, including but not limited to Google Firebase/Google Cloud (hosting, database, storage), Dodo Payments (billing), and Resend (email delivery). We are not responsible for outages, errors, or issues originating from these third-party providers, though we will make reasonable efforts to maintain service continuity.

10. Disclaimers

  • The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
  • We do not provide legal, tax, financial, or accounting advice. Any bookkeeping, invoicing, or financial summary features are tools for your own record-keeping and do not substitute for professional advice.
  • You are solely responsible for verifying that your use of the Service, and the records you keep through it, satisfy any legal, tax, or regulatory obligations applicable to your business and jurisdiction.

11. Your Responsibility for Compliance and Data

Because Ranflo gives you full control over the data, records, and content you create and store in the Service, you, not Verveance, are solely and entirely responsible for:

  • Tax and financial compliance: ensuring that your use of Ranflo's Finances, record-keeping, or any billing/invoicing-summary features satisfies the tax, bookkeeping, and financial reporting obligations applicable to your business in your jurisdiction(s). Ranflo does not verify, audit, or guarantee that your records meet any statutory, tax, or regulatory requirement.
  • Legal compliance: ensuring your use of the Service, and your dealings with your leads, clients, and End Clients, comply with all laws applicable to you, including but not limited to data protection/privacy law, consumer protection law, employment law (for any Team/employee records you keep), and any licensing or registration requirements for your business or industry.
  • The accuracy and legality of your data: all data you input, upload, or store through the Service, including client and employee records, and for obtaining any consents or permissions required to lawfully collect, store, and process that data.
  • Data retention decisions: since you have full control over your account and records, including the ability to export and delete data at any time, you are responsible for retaining copies of any records you may need for tax, legal, audit, or business purposes, including before deleting your account, after which data cannot be recovered.
  • Decisions made using the Service: any business, financial, or operational decisions you make based on information stored in or generated by Ranflo.

Verveance does not act as your accountant, lawyer, tax advisor, or compliance officer. We strongly recommend consulting qualified professionals for tax, legal, and regulatory matters specific to your business and jurisdiction.

12. Limitation of Liability

To the maximum extent permitted by law:

  • Verveance and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use the Service.
  • Our total liability for any claim arising from these Terms or your use of the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim.
  • Nothing in these Terms limits liability that cannot be excluded or limited under applicable law.

13. Indemnification

You agree to indemnify and hold harmless Verveance, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) Your Content; (b) your use of the Service in violation of these Terms; (c) your violation of any law or third-party right, including disputes with your End Clients; or (d) your negligence or misconduct.

14. Termination

  • You may terminate your account at any time via the account deletion process described in your Settings.
  • We may suspend or terminate your access to the Service if you violate these Terms, engage in fraudulent or abusive behavior, or if required by law.
  • Upon termination, your right to use the Service ceases immediately. Data deletion following termination follows the process described in our Privacy Policy.
  • Sections of these Terms that by their nature should survive termination (including Sections 8, 10, 11, 12, and 13) will survive.

15. Changes to the Service

We may modify, update, or discontinue features of the Service at any time, with or without notice. We will make reasonable efforts to notify users of material changes that affect core functionality, but we are not obligated to maintain any specific feature or service option indefinitely.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or an in-app notice before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. Note that, as described in Section 4, the specific plans, features, pricing, and service options of the Service may change without notice.

17. Governing Law and Disputes

  • These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict of law principles.
  • Any disputes arising from these Terms or your use of the Service will first be resolved through good-faith negotiation. If the dispute is not resolved through negotiation, either party may bring proceedings in the courts of the Republic of the Philippines.
  • If you are a consumer residing in a jurisdiction that provides mandatory consumer protections (e.g., the EU or UK), nothing in this section limits any rights you have under those mandatory laws.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Verveance regarding the Service and supersede any prior agreements or understandings.
